Dow Jones industrial average futures were up 0.28 percent at 17,816, S&P 500 futures were up 0.32 percent at 2,086.75 and Nasdaq 100 futures were up 0.21 percent at 4,441.

** HCC INSURANCE HOLDINGS INC, Tuesday close $56.69, +35.93 pct premarket

Tokio Marine Holdings Inc said on Wednesday it had agreed to buy U.S. specialty insurer HCC Insurance Holdings for $7.5 billion, in what would be the biggest M&A deal this year by a Japanese company.

** BOULDER BRANDS INC, Tuesday close $8.88, -20.05 pct premarket

The natural packaged food maker said Chief Executive Stephen Hughes resigned and it expected sales to fall in the second quarter, sending its shares down 15.5 percent in premarket trading.

** OXFORD INDUSTRIES INC, Tuesday close $81.01, +11.10 pct premarket

The apparel retailer forecast current-quarter profit and sales above analysts' estimates and raised its full-year forecast, citing strong demand for its Lilly Pulitzer and Tommy Bahama clothing lines and store growth.

** FRANCESCA'S HOLDINGS CORP, Tuesday close $16.08, -9.89 pct premarket

The women's apparel and accessories retailer reported lower-than-expected first-quarter sales, hurt by weak demand at its boutiques.

** SCORPIO BULKERS INC, Tuesday close $2.17, -14.75 pct premarket

The dry bulk shipper said it would sell $200 million of its common stock in a public offering.

** BALLARD POWER SYSTEMS INC, Tuesday close $2.27, +5.73 pct premarket

The Canadian fuel-cell products maker signed a deal with Chinese locomotives maker Tangshan Railway Vehicle Company to develop a new fuel cell module to power trams.

** CYPRESS SEMICONDUCTOR CORP, Tuesday close $12.6, +6.27 pct premarket

** INTEGRATED SILICON SOLUTION INC, Tuesday close $20.45, -0.24 pct premarket

Integrated Silicon Solution said it agreed to be acquired by Cypress Semiconductor on Wednesday, days after rejecting the fellow chipmaker's offer citing antitrust concerns.

** CTI BIOPHARMA CORP, Tuesday close $1.97, +8.12 pct premarket

** BAXTER INTERNATIONAL INC, Tuesday close $64.08, +0.45 pct premarket

The drug developer said a license was granted to Baxter on lead blood cancer drug pacritinib being tranferred to planned spinoff Baxalta. CTi BioPharma said it would receive about $32 million in two milestone payments earlier than expected.

** JOHNSON CONTROLS INC, Tuesday close $51.56, +3.53 pct premarket

The auto parts maker said it was exploring strategic options for the separation of its automotive business.

** IGNYTA INC, Tuesday close $18.08, -5.37 pct premarket

The company said on Tuesday that it would offer about $75 million of its common stock to fund research and development activities.

** REGENERON PHARMACEUTICALS INC, Tuesday close $526.09, -3.75 pct premarket

** SANOFI SA, Tuesday close $49.43, +0.89 pct premarket

** ESPERION THERAPEUTICS INC, Tuesday close $100.53, -20.92 pct premarket

A new type of cholesterol-lowering drug made by Sanofi and Regeneron Pharmaceuticals should be approved, an advisory committee to the U.S. Food and Drug Administration concluded on Tuesday. Most panelists said they would like to see use of the product limited, at least initially, to patients with a genetic predisposition to high cholesterol and those at high risk of cardiovascular disease who are on maximum doses of statin therapy.

Cholesterol drug developer Esperion's shares were also down.

** SIGMA DESIGNS INC, Tuesday close $8.94, +9.06 pct premarket

The company, which makes chips for Internet-based TV set-top boxes, on Tuesday reported first-quarter profit and revenue well above average analyst estimates.

** HERON THERAPEUTICS INC, Tuesday close $26.08, -1.57 pct premarket

The biotech company said it would offer and sell shares of common stock pursuant to existing shelf registrations.

** TRINITY INDUSTRIES INC, Tuesday close $29.23, -2.39 pct premarket

A U.S. judge on Tuesday ordered the company to pay $663.4 million after a federal jury found it liable for failing to tell a government highway agency about changes made to a widely used guardrail system that raised safety concerns.

** NEW RESIDENTIAL INVESTMENT CORP, Tuesday close $16.63, -4.09 pct premarket

The investment management company announced an offering 31.5 million shares, representing about 16 percent of outstanding shares as of April 30.

** TARGET CORP, Tuesday close $78.9, +1.13 pct premarket

The company said it would double its share buyback program to $10 billion and boost its quarterly dividend by 7.7 percent, confirming the contents of a statement it published inadvertently and took off its website earlier on Tuesday.

** NETFLIX INC, Tuesday close $647.15, +1.02 pct premarket

The company's shareholders on Tuesday approved a massive increase in the number of shares the company is authorized to issue, the first step toward a possible stock split.

** QUIKSILVER INC, Tuesday close $0.8484, +0.19 pct premarket
